Our desire is to delight the client. One way is to make clear our understandings with each other.
These are the terms of our agreement together:

1. Authorization. The above-named client is engaging RuffNet Designs, a sole proprietorship, located at 8306 Hwy 21, Hillsboro, MO. 63050, as an independent contractor for the specific project of developing and/or improving a World Wide web site to be installed on web space provided by RuffNet Designs. If the client already has a website that needs redesign or maintenance, the client hereby authorizes RuffNet Designs to access this account, and authorizes the web hosting service to provide RuffNet Designs with "write permission" for the client's webpage directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project. The client also authorizes RuffNet Designs to publicize their completed web site to Web search engines, as described below.

2. Description of Services. RuffNet Designs will include the services set out in the detailed bid provided for the purpose of web site design and development.

3. Exclusions: Client understands these services do not include content development, software, web site statistics tracking, domain name transfer fees, ongoing search engine or online directory submission, search engine optimization, web site promotion, or ongoing web site maintenance (without contract). RuffNet Designs is not responsible for dead hyperlinks and site crashes.

4. Client Obligations: The content of the webpages will be supplied by the client and executed as specified by the client in the "web site Planning Worksheet" dated _______________. This web site includes up to ___________ webpages. In case the client desires additional standard webpages beyond the original number of pages specified above, the client agrees to pay RuffNet Designs an additional $_______ for each additional webpage.
RuffNet Designs and/or its owners are only responsible for the services described herein. RuffNet Designs and/or its owners do not attempt to verify the information or content provided by the client. Client agrees to indemnify and hold RuffNet Designs and its owners, subsidiaries, affiliates, officers, employees, agents, and other partners harmless from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of client business practices, web pages, copyright infringement, or any breach of the representations made by Client herein.

5. Changes to Submitted Text. Please send us your final text. Time required to make substantive changes to client-submitted text after the webpages have been constructed will be additional and billed at the hourly rate.

6. Copyrights and Trademarks. The client represents to RuffNet Designs and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to RuffNet Designs for inclusion in webpages are owned by the client, or that the client has all necessary permission(s) from the rightful owner(s) to use each of these elements. Client further agrees to hold harmless, indemnify, and defend RuffNet Designs, its owner, officers, employees and its subcontractors from any claim or suit arising from the use of such elements furnished by the client or client’s breach of the representation in this paragraph.

7. Laws Affecting Electronic Commerce. From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend RuffNet Designs and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce.

8. Copyright to Webpages. Copyright to the finished assembled work of webpages produced by RuffNet Designs is owned by RuffNet Designs. Rights to source code, work-up files, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. All original images and text provided by the client remain the property of the client. Because the integrity and aesthetic of the website created by RuffNet Designs is crucial to our reputation and displayed as part of our portfolio, clients do not receive the right to change, alter, remove, or reconfigure the website in any way without the written permission of RuffNet Designs, unless agreed upon in the attached bid/website service contract. If the client or an agent other than RuffNet Designs attempts updating the client's pages without the written approval of RuffNet Design, time to repair or restore webpages will be assessed at the hourly rate of $100.00 per hour, and is not included as part of the Basic Maintenance Plan. RuffNet Designs and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios. Client further grants RuffNet Designs the limited right and license to use its name and logo on RuffNet Designs’ web site and in its literature to indicate that Client is a licensee of RuffNet Designs.

9. Maintenance and Hourly Rate. RuffNet Designs will provide e-mail/phone consultation of up to 2 hours for total general Internet orientation education, marketing strategy, and Web design consultation.. Telephone long distance charges are not included in the package rates quoted and are the responsibility of Client. Additional education and consultation will be provided at the hourly rate of $40.00 per hour. RuffNet Designs will provide a Monthly Maintenance Plan, if the client desires, for the fee of $50.00 per month This plan includes, but is not limited to, minor webpage maintenance, such as updating links (where provided by client), making minor text and navigational updates, and/or troubleshooting and other services agreed upon in writing prior to the commencement of this Plan. It does not including removing nearly all the text or images from a page and replacing it with new text or images.If the client decides not to purchase a Monthly Maintenance Plan, RuffNet Designs will make changes or updates to the client's web site at the rate of $40.00 per hour prorated to the amount of time actually spent, with no minimum fee.

10. Completion Date. RuffNet Designs and the client must work together to complete the web site in a timely manner. We agree to work expeditiously to complete the web site no later than ________________________________.
If the client does not supply RuffNet Designs complete text and graphics content all webpages contracted for within six weeks of the date this contract was signed, the entire contract becomes null and void; except that RuffNet Designs shall be entitled to retain any monies advanced in recognition of time expended by it.

11. Assignment of Project. RuffNet Designs reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.

12. Web Hosting. If the client doesn't need a huge amount of space or special services, RuffNet Designs can arrange web space with MS11.net for a one-time fee included in the price of the project. If a different web hosting service is wanted, client understands that any web hosting services require a separate contract with a web hosting service. The client agrees to select a web hosting service that allows RuffNet Designs full access to the web site and a cgi-bin directory via FTP. The client further understands that the web hosting service's operating system is must be compatible with the latest version of MS Frontpage and accepts Frontpage extensions or any other requirements specified by RuffNet Designs..

13. Fees Schedule and Refund Policy. The total amount of this contract is $______________ This agreement begins with an initial payment of $_____________. Fees to RuffNet Designs are due and payable on the following schedule: 1/2 upon signing this contract, and the other 1/2 on completion of the website and prior to submission of final web site to the webhosting company. If the total amount of this contract is less than $500, the total amount shall be paid upon signing this contract. All payments will be made in US funds and by check or money order. RuffNet Designs reserves the right to remove or withhold publishing webpages on the Internet until final payment is received.
If the client halts work and applies by registered letter for a refund within 30 days, to the Director of RuffNet Designs, 8306 Hwy 21, Hillsboro, Missouri 63050 phone (636) 942-1313, work completed shall be billed at the hourly rate stated above, and deducted from the initial payment, the balance of which shall be returned to the client. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless written application is made within 30 days of signing this contract.
This agreement becomes effective only when signed by the legal representative of RuffNet Designs. Regardless of the place of signing of this agreement, the client agrees that if legal action is required to enforce this agreement any dispute shall be litigated or arbitrated in Jefferson county, Missouri.. In case collection proves necessary, the client agrees to pay all legal fees and expenses incurred by that process.

14. Miscellaneous. RuffNet Designs does not warrant that the functions contained in these webpages or the Internet web site will meet the client's requirements or that the operation of the webpages will be uninterrupted or error-free. The entire risk as to the quality and performance of the webpages and web site is with client. In no event will RuffNet Designs be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these webpages or web site, even if RuffNet Designs has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

15. Sole Agreement. The agreement contained in this "Web Site Design Contract" constitutes the sole agreement between RuffNet Designs and the client regarding this web site. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for one (1) month after both parties sign this contract. Continued services after that time will require a new agreement.
